Facebook debut is modest, high volumes cause problems

SAN FRANCISCO (Reuters) – For a company that is dramatically upending business strategies and social relationships around the world, Facebook Inc made a surprisingly modest debut on the Nasdaq on Friday as a sky-high valuation and trading glitches capped the stock’s rise.

In late trading, Facebook shares were only a few cents above the company’s initial public offering price of $38, after opening 11 percent higher, rapidly heading south to touch their initial price and then rebounding by several dollars.

Facebook had priced its IPO at the top end of its target range and increased the size of the offering, becoming the first U.S. company to go public with a valuation greater than $100 billion.

Facebook founder and Chief Executive Mark Zuckerberg, 28, who retains voting control of the company and whose personal net worth is now about $20 billion, marked the moment at the company’s Silicon Valley campus by symbolically ringing the opening bell for stock trading on Friday morning.

Wearing his trademark black hoodie, Zuckerberg hugged and high-fived Sheryl Sandberg, Facebook’s chief operating officer, who is credited with bringing crucial business discipline to a company founded in a Harvard dorm room eight years ago.

The area outside Facebook’s offices was packed with throngs of photographers, more than a dozen television trucks, and a TV news helicopter hovering overhead.

Outside of Nasdaq headquarters in New York, crowds also gathered, even as exchange officials struggled to sort out technical problems related to the huge volume of orders, which delayed the start of trading in the stock by 45 minutes and left investors guessing for more than two hours about whether their buy and sell orders had actually been executed.

Facebook set a new trading volume record for U.S. market debuts, with over 515 million shares changing hands.

Assuming the underwriters exercise a greenshoe option as expected, Facebook’s IPO is set to raise $18 billion, the second-largest amount in U.S. history, and by far the largest ever for a U.S. Internet company.

The shares attracted interest from investors of all stripes, reflecting the social network’s extraordinary growth and deep store of information about its 900 million users.

The IPO minted thousands of new paper millionaires among Facebook’s 3,500 employees — and a handful of billionaires among its founders and early investors.

But the stock debut took place in a weak market, and traders said the smaller-than-expected first-day pop reflected the very aggressive pricing of the offering and a last-minute, near 25 percent increase in the number of shares being sold. Analyst predictions of first-day gains had ranged from 10 percent to 50 percent.

“The increase in size was a big negative factor for us,” said Tim Ghriskey, chief investment officer at Solaris Asset Management, who said he canceled some orders for the shares.

The IPO price was equivalent to more than 100 times historical earnings, compared with Apple Inc’s 14 times and Google Inc’s 19 times. For many investors that makes it a risky bet.

“We have got some unhappy guys out there,” said Wayne Kaufman, chief market strategist at John Thomas Financial, a retail broker on Wall Street. “They were hoping for Facebook to be considerably better. I bet there are a lot of disappointed people in the market.”

Market participants said that in the final run-up to the IPO, much of the demand was from retail investors rather than institutions. When the stock fell to $38 on Friday morning, traders say the IPO’s lead underwriter Morgan Stanley stepped in to prevent the price from slipping below the IPO level.

From Facebook’s perspective, a small increase in the stock shows it was priced perfectly for Zuckerberg and early investors, who pocketed maximum gains and left little of the easy money on the table.

“You want to price the offering correctly. Institutional buyers get a little bump and the company raises the right amount of money,” said Kevin Hartz, co-founder and CEO of Eventbrite, an online ticketing startup that is integrated with Facebook’s platform. “If the stock has a massive bump on day one that means you misread market demand and company does not raise the right amount of money.”

BATTLE OF THE GIANTS

Facebook faces many challenges as it takes its place beside Google, Apple and Amazon.com Inc as one of the giant public companies defining the next-generation Internet economy. Google in particular views Facebook as a mortal threat and is moving aggressively to integrate social networking features across its products.

At the same time, scores of young companies are building new products and services, in some cases on top of the Facebook platform and in some cases in competition with it, and attracting huge amounts of investment capital.

A handful of such so-called Web 2.0 companies, including Zynga Inc, LinkedIn Corp, Yelp Inc and Groupon Inc, have already gone public, and others have been acquired by the industry giants.

In a sign of the volatile nature of highly valued Internet stocks, all these shares fell on Friday in sympathy with Facebook’s weaker-than-expected debut. In particular, social gaming company Zynga, which relies on heavily on Facebook and also provides more than 10 percent of Facebook’s revenues, fell by more than 14 percent.

In an indication of the land grab now under way in the Internet world, Facebook in April acquired Instagram, a tiny photo-sharing company with lots of users but no revenue, for $1 billion. A Facebook rival, social scrap-booking site Pinterest, raised money earlier this week at a valuation of $1.5 billion in a sign that venture capitalists and other private investors still see enormous potential in Web 2.0 companies.

Facebook’s formidable assets include 900 million users around the world, many of whom spend hours a day on the site and share enormous amounts of personal information. That in turn enables Facebook to target its advertising to peoples’ specific interests, and many analysts believe the huge store of personal information gives Facebook an advantage that Google and other cannot match.

“Literally everything you see on the internet, you could see inside Facebook — but done with much more of the social graph built into it,” said Siva Kumar, CEO of e-commerce company TheFind. “In a way they operate the mall, and everybody in the mall will pay some way or the other to Facebook.”

Facebook posted $3.7 billion in revenue in 2011 and $1 billion in profit. Analysts say the company has untapped opportunities in mobile computing, and potentially other Internet services such as email and search. Zuckerberg, though unproven as a public company CEO, is widely admired as a product visionary who has done a masterful job in continually improving the Facebook experience.

Skeptics, though, note that only a small percentage of Facebook users respond to advertising on the site. Google retains a big advantage in that regard, because advertising related to specific Internet searches is by nature far more relevant and thus more valuable.

In a sign of the challenges ahead for Facebook, the nation’s third-largest advertiser, General Motors Co, said last week that it was canceling its paid advertising on the site.

Global Equities analyst Trip Chowdhry said the stock debut was “lackluster” because Facebook’s growth prospects do not justify a high stock valuation. “They have serious technology and business model problems. Facebook is overhyped and drinking its own Kool-Aid,” he said. “They are only getting $4.39 per user per year. Google gets almost $30 per user.”

In Silicon Valley, though, the conventional wisdom is that Facebook and its social media brethren will be an increasingly important force in the business world for many years to come.

Already, the influx of wealth arising from Facebook’s extraordinary growth has helped drive a mini-boom in San Francisco Bay Area real estate, and income tax revenues related to the IPO will cut the state of California’s budget deficit by an estimated $2 billion.

Bird-like robo-plane avoids obstacles in an urban jungle

A robotic plane with the moves and speed of birds, and relies on its own senses to?deftly dart between a city’s?skyscrapers, street lights and power lines, has taken a big step closer to reality.

The plane, technically called a micro air vehicle, was revealed Wednesday at a robotics conference. It?flies without the assistance of external GPS or motion tracking?? crutches employed by previous systems designed to tackle the problem of autonomous flying through urban environments.

Instead, the system, led by Adam Bry in MIT’s Robust Robotics Group,?uses an onboard inertial measurement unit???a system of gyros and accelerometers that determine things such as velocity and orientation ? as well as a laser range finder and a pre-existing 3-D map of its environment to accomplish the feat.

The result is demonstrated in the video above, which Bry played during his paper?presentation at the IEEE International Conference on Robotics and Automation.

While setting a flying robot free in an underground parking garage is certainly an impressive feat, the?IEEE Automation blog notes that the requirement for a pre-existing map programmed into the robot?s system prevents this thing from being set free in terra incognita.

Still, though, flying robots are approaching the skill of flying birds, which might bode well for military planners interested in sending robotic off to battle in the next big urban war.

US envoy to Israel: US ready to strike Iran

(AP) ? The U.S. has plans in place to attack Iran if necessary to prevent it from developing nuclear weapons, Washington’s envoy to Israel said, days ahead of a crucial round of nuclear talks with Tehran.

Dan Shapiro’s message resonated Thursday far beyond the closed forum in which it was made: Iran should not test Washington’s resolve to act on its promise to strike if diplomacy and sanctions fail to pressure Tehran to abandon its disputed nuclear program.

Shapiro told the Israel Bar Association the U.S. hopes it will not have to resort to military force.

“But that doesn’t mean that option is not fully available. Not just available, but it’s ready,” he said. “The necessary planning has been done to ensure that it’s ready.”

Iran says its nuclear program is for peaceful purposes, like energy production. The U.S. and Israel suspect Iran is pursuing nuclear weapons, but differences have emerged in how to persuade Tehran to curb its program.

Washington says diplomacy and economic sanctions must be given a chance to run its course, and is taking the lead in the ongoing talks between six global powers and Iran.

Israel, while saying it would prefer a diplomatic solution, has expressed skepticism about these talks and says time is running out for military action to be effective.

President Barack Obama has assured Israel that the U.S. is prepared to take military action if necessary, and it is standard procedure for armies to draw up plans for a broad range of possible scenarios. But Shapiro’s comments were the most explicit sign yet that preparations have been stepped up.

In his speech, Shapiro acknowledged the clock is ticking.

“We do believe there is time. Some time, not an unlimited amount of time,” Shapiro said. “But at a certain point, we may have to make a judgment that the diplomacy will not work.”

The U.S. envoy spoke on Tuesday. The Associated Press obtained a recording of his remarks on Thursday.

The five permanent members of the U.N. Security Council and Germany are gearing up to for a May 23 meeting with Iran in Baghdad. Shortly after the meeting, the U.N. atomic agency is to release its latest report card on Iran’s nuclear efforts.

In Tehran on Thursday, top nuclear negotiator Saeed Jalili warned against Western pressure at next week’s talks, which are a follow-up to negotiations in Istanbul last month that all sides praised as positive.

“Cooperation is what we can talk about in Baghdad,” Jalili said in comments broadcast on Iranian state TV.

“Some say time is running out for the talks,” he added. “I say time for the (West’s) pressure strategy is running out.”

Four rounds of U.N. sanctions have failed to persuade Iran to halt its uranium enrichment, a process that has civilian uses but is also key to bomb-making. But recent U.S. and European measures, including an oil embargo and financial and banking sanctions, have bludgeoned Iran’s economy by curtailing its ability to carry on economic transactions with the international community.

Israel says a nuclear weapon in the hands of Iran would threaten the Jewish state’s survival and has waged a fierce diplomatic campaign against the Iranian nuclear program for years. Israel cites Iranian calls for Israel’s destruction, Iran’s arsenal of missiles, and its support for anti-Israel militant groups.

Senior officials have expressed skepticism about the sanctions’ effectiveness, and believe Tehran is using the talks to stall the international community as Iran moves ever closer to a nuclear bomb.

The United States has urged Israel to refrain from attacking, at least at this point. Tough new economic sanctions are to go into effect over the summer, and American officials fear an Israeli strike could set off a regional war without significantly setting back the Iranian program.

Prime Minister Benjamin Netanyahu argues the negotiations will fail unless Iran agrees to halt all uranium enrichment, ship its current stockpile of enriched uranium out of the country and dismantle an underground enrichment facility near the city of Qom.

Maj. Gen. Ido Nehushtan, who until a few days ago commanded Israel’s air force, said in a Jerusalem Post interview Thursday that the air force is prepared for any scenario, including striking Iranian nuclear facilities.

Israel’s military chief told the Associated Press last month that other countries as well as Israel have readied their armed forces for a potential strike against Iran’s nuclear sites.

(AP) ? Police are urging a newlywed suburban Chicago man wanted in the stabbing death of his wife to turn himself in as 32 law enforcement agencies and the FBI hunt for him.

Thirty-year-old Arnoldo Jimenez is accused of first-degree murder in the slaying of 26-year-old Estrella Carrera. She was found in her bathtub shortly after they celebrated their wedding Friday with friends.

Carrera was clad in the silver sequin cocktail dress that she wore at the wedding reception.

Capt. Joseph Ford of the Burbank Police Department says Jimenez was previously arrested for domestic violence in another city that did not involve Carrera.

Ford says police don’t think Jimenez is a danger to others.

He says Jimenez should “turn himself in for the sake of his family and especially his children.”

Angels fire hitting coach Mickey Hatcher

ANAHEIM ? The object of criticism and a hot button for fan discontent whenever the Angels slipped into a slump, Mickey Hatcher couldn’t survive the most unexpected slump in Angels history.

With the Angels’ offense “grossly underperforming” in the words of GM Jerry Dipoto, Hatcher was relieved of his duties as the team’s hitting coach following Tuesday’s game against the Oakland A’s. Triple-A hitting coach Jim Eppard will join the Angels on Wednesday and assume the hitting coach duties.

Mickey Hatcher was fired Tuesday as the Angels’ hitting coach. The Angels set franchise records for average (.285), hits (1,604) and runs scored (883) in 2009, but only two AL teams have scored fewer runs than the Angels this season.

“Obviously, we’ve been struggling as an offensive club, really for the entirety of the season,” Dipoto said. “Peeling back the layers of the onion, this is a problem that we’ve had as an offensive team for the last couple of years. It’s something we’ve been monitoring, trying to change the way we approach our at-bats … Through conversations we’ve had as an organization, the major league coaching staff, particularly Mickey, walking through the various concerns and ideas – it’s been a rough struggle for us offensively.

“Eight shutouts in the first 36 games of the season and an offense that was grossly underperforming with what they’ve historically done. This is unfortunately a situation where a message needs to be sent, and a philosophy needs to be instilled. Right now we’re struggling to do that, and we just felt like the voice needed to change.”

Hatcher, 57, had been the Angels’ hitting coach since Mike Scioscia became manager in 2000. The longest-tenured hitting coach in baseball before Tuesday’s firing, Hatcher is the first coach fired from Scioscia’s staff in 13 seasons. First-base coach Alfredo Griffin is now the only remaining member of Scioscia’s original coaching staff.

The Angels set franchise records for average (.285), hits (1,604) and runs scored (883) under Hatcher in 2009. But that production had disappeared in the two subsequent seasons with the heat on Hatcher turning up in direct proportion to the regression of the offense.

Despite the expensive offseason addition of Albert Pujols and the return of Kendrys Morales, the Angels rank near the bottom of the American League in most statistical categories this season. They have been shut out a major-league high eight times. No team since 1907 has been shut out more often through the first 36 games of a season. Only two AL teams (the A’s and Twins) have scored fewer runs than the Angels this season.

Two areas Dipoto has made it known he values ? the plate discipline to work and control counts and on-base percentage ? were particular weaknesses for the Angels. Their .313 team OBP in 2011 was 21st in the majors, 13th in the American League. This year’s mark is even worse (.301).

“As an organization, we think the world of Mickey ? his work ethic, his enthusiasm for the job,” Dipoto said. “But at a certain point, it becomes about the results on the field. Offensively, we’re having a difficult time getting on base, we’re having a difficult time hitting in situations, with runners in scoring position, etc. You can go on down the line.

“We’re all accountable, to a certain extent, for what we’ve been given as our responsibility. I’m included in that. Mike’s included in that. Obviously Mickey’s included in that, and this is a move that we’re making in an attempt to jump-start an offense and to instill a philosophy that we believe has the power to last.”

The announcement of Hatcher’s firing was made well after the game and Scioscia was not available for comment. Dipoto would not comment on how his conversation with Scioscia about the need to make the change went.

However, the move is another clear indication of how the power dynamic in the Angels’ front office has changed since Dipoto’s arrival in November.

“I won’t get into that except to say that we make decisions for a variety of reasons and this one was clearly thought through,” the GM said.

Dipoto said the decision to fire Hatcher was “not at all” related to any perceived friction between Hatcher and Pujols. Hatcher revealed to reporters recently an anecdote about Pujols standing up and speaking during a pre-game hitters’ meeting, taking responsibility for his own struggles and vowing to improve.

Pujols expressed his displeasure with Hatcher for talking about it.

“Mickey should have never told you guys that,” Pujols told reporters at the time. “That stuff needs to be private. He should have never told the media.

“What we talked about at the meeting, not disrespecting Mickey, but that stuff should stay behind closed doors.”

Ironically, Hatcher often joked this spring training about being demoted to “assistant hitting coach” with Pujols’ arrival because of the future Hall of Famer’s immense credibility with teammates.

“This had everything to do with what had been essentially a pole-to-pole offensive struggle to this point,” Dipoto said. “There’s really no more of a soap-opera story to it than that.

“We haven’t been scoring runs with consistency, putting together consistent at-bats, hitting in situations, and those are the things that will be measured offensively. That’s why we’re here today.”

Eppard, 52, is a former first baseman-outfielder who won four minor-league batting titles and spent parts of four big-league seasons with the Angels and Blue Jays (1987-90). He has been in the Angels’ minor-league organization since 2003 as a hitting coach.

Dipoto would not call Eppard an interim choice for the position.

“I’m not a big fan of the interim tag. I don’t think that allows anybody the ability or autonomy to do their job,” he said, adding that Eppard’s future role will be evaluated “as we move along.”

“We believe in him, he’s a part of the Angels family and he deserves the opportunity to sink his teeth into the job.”
